 Waiver & Consent Release Form

CALIFORNIA DANCE CLASSICS, INC. ("CDC"), its assigns, shareholders, successors, subsidiaries, affiliates, employees, agents, nominees, licensees, their successors and assigns, and those acting with its authority (herein after collectively referred to as “CDC Parties”), to use, sell or otherwise use the materials (as defined below as the “Works”) in any form or medium now or hereafter known including, but not limited to printed, recorded, audio, audiovisual material, or any similar material or material derived there from or based thereon, whether or not altered or enhanced, bearing or containing the Contestant's “Name and/or Likeness” (as defined below) and made before, during, after or in relation to CDC's dance competitions and other events including, but not limited to outtakes, interviews and “real-life” portrayals of the circumstances leading up to Contestant's participation in current and all prior CDC dance competitions and other events (the “Competition”) (collectively, the “Works”) and authorize CDC Parties and others working on behalf of CDC Parties to do so in any media now or hereafter known through exhibition, distribution, reproduction, publication, performance, broadcast, transmission, advertising, promotion, or otherwise including, but not limited to, the internet and in connection with other products and services, and for advertising, trade, or any other purpose. The Contestant’s “Name and Likeness” shall include the Contestant’s name, signature, likeness, still, moving and digital image, voice, and/or performances and any other identifiable attributes, whether or not altered or enhanced. CDC Parties may edit, upload and post online, modify, alter and enhance the Works as it desires and may use the Works or excerpts there from in any way without limitation. CDC Parties shall be under no obligation to use or exploit the Works or the Contestant’s Name andLikeness. I (contestant or parent/guardian of contestant) hereby waive all rights and claims under privacy, publicity, defamation, compensation and proprietary rights law relating to the Works, or their exploitation and acknowledge that CDC Parties shall own all copyrights and related rights in and to the Works and all derivatives thereof. I will not hold CDC Parties liable for the breach of any agreement previously made or herein made as a result of my/the Contestant’s participation in the Competition or related events I hereby agree to release, defend, indemnify and discharge the CDC Parties and each of them and any party that is affiliated with, sponsors or organizers of the Competition from liability for loss or theft of articles or other property and/or injuries sustained by the Contestant while participating in this event/ competition described above. I acknowledge that I/the Contestant attends this event at my/his or her own risk and will. I will defend, indemnify and hold the CDC Parties and each of them harmless from and against any and all claims, demands, losses, suits and expenses relating to this or arising out of this Waiver/Consent Agreement arising out of my actions, negligent or otherwise. This terms of this Agreement do not in any way conflict with any existing commitment on the part of the undersigned. Signatures delivered by electronic transmission (e.g., PDF) or facsimile shall be binding on parties inthe same manner as original signatures.​

I represent that I am the legal guardian and/or parent of the Contestant and that I have the right, power and authority to enter into this Agreement. On behalf of the Contestant, I agree to release, indemnify, and hold the CDC Parties and each of them, harmless against all claims, liabilities, and expenses arising out of the breach of any of my representations or promises. I further agree and

warrant that the above-mentioned Contestant, will not disaffirm or disavow this consent and permission on the ground that the Contestant was a minor on the date of execution hereof or any similar grounds whatsoever, or endeavor to recover from CDC Parties, or any CDC Party, through any guardian, any cash, prizes or other sums for participating in the Competition, other than cash and other prizes won during the course of the Competition. I have read and understand the terms and conditions of this Agreement. I have signed the Agreement, which shall govern this agreement. This will confirm that by signing this document below or by affixing my electronic signature there to I (whether a contestant 18 years or older or for parent or legal guardian of contestants younger than 18 years old as of the signing hereof) shall be bound by all the terms hereof.
